SRF Agreement

Please carefully read the following terms and conditions before accessing the attached document consisting of the Service Resource Format Interface Specifications for the Granite Systems, Inc. gatewayX^ng product (the "Specifications"). By accessing or utilizing the Specifications, you indicate your acceptance of these terms. This is a legal agreement between you and Granite Systems, Inc. ("Granite").

Granite is a subsidiary of Telcordia, and the following Granite material is provided as a convenience to users of Granite's products.


1. LICENSE.  Granite hereby grants you a non-exclusive, non-assignable, non-transferable license to use the Specifications at no charge, subject to the provisions below.

2. USAGE RESTRICTIONS AND REQUIREMENTS.  The license granted in Section 1 above is subject to the following restrictions and requirements:  (i) you shall not modify the Specifications, (ii) you shall conspicuously credit Granite Systems, Inc. as the source of the Specifications in the product literature for any developments you create utilizing the Specifications, and (iii) you shall not remove, alter or obscure any copyright, trademark, proprietary or other notices contained in the Specifications or screen displays.

3. DISTRIBUTION.  You may not disclose or distribute the Specifications to third parties except as required by law, and you agree to take reasonable measures to prevent disclosure of the Specifications to third parties.  Third parties may obtain the Specifications directly from Granite's web site at www.granite.com.  We encourage you to refer interested parties to this web site.

4. PROPRIETARY RIGHTS.  Title to, and all copyrights and other intellectual property rights in the Specifications and all copies thereof shall remain solely in Granite Systems, Inc. The Specifications are protected by U.S. copyright and other intellectual property laws and by international treaties.  Granite Systems, Inc. reserves to itself all rights not expressly granted in this Agreement.  The Specifications are copyright © Granite Systems, Inc. 2003.  All rights reserved.  These rights include but are not limited to any foreign language translations and all derivative works of both.

5. MODIFICATIONS BY GRANITE.  Granite Systems reserves the right at any time and from time to time to modify the Specifications without notice.

6. NO WARRANTY.  THE SPECIFICATIONS ARE PROVIDED "AS IS" WITH NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTY OR NON-INFRINGEMENT.  GRANITE DOES NOT WARRANT THAT THE SPECIFICATIONS OR THE RESULTS THEREOF WILL MEET YOUR REQUIREMENTS.

7. EXCLUSION OF DAMAGES.  TO THE EXTENT ENFORCEABLE AND AS PART OF THE BARGAINED-FOR CONSIDERATION FOR THE GRANT OF THE LICENSE, IN NO EVENT SHALL GRANITE BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE LOSSES OR DAMAGES, HOWEVER CHARACTERIZED AND IRRESPECTIVE OF FAULT OR NEGLIGENCE, ARISING OUT OF THIS AGREEMENT OR USE OF THE SPECIFICATIONS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

8. This agreement and all of the terms, conditions, rights, and covenants contained herein shall be binding upon and for the benefit of the parties hereto and their respective successors and assigns; provided, that you may not assign, sublicense, or otherwise transfer this agreement or any of its rights or obligations hereunder.

9. GOVERNING LAW AND FORUM.  This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, USA without regard for its conflict of law provisions.  You hereby agree and consent to the jurisdiction of the Federal and State courts of the State of New Hampshire USA for any actions pertaining to this Agreement or the breach or enforcement thereof.
 
10. SEVERABILITY.  Any provision of this Agreement which is held unenforceable as written shall be enforced to the fullest extent permissible and shall affect the validity of any other provision of this agreement.

11. ENTIRE AGREEMENT.  This document constitutes the entire agreement between you and Granite Systems, Inc. with respect to the Specifications.
